The benefit of Phonetrade derives from the credibility, working methods and business ethics of its members. We therefore have set up the following terms & conditions that regulate the use of all Phonetrade.com services under this Internet address. Acknowledgement and acceptance of these General Terms and Conditions are prerequisite for entering the member login services.

1. SUBJECT MATTER

Phonetrade.com provides the following services ("Services"):

A mobile phone trading exchange section ("Exchange") for mobile phones and accessories, and other related products and services ("Products"), and

A B2B-shop section (B2B-shop) providing related products and other informational services. The Services are owned and operated by GBL Global Business Link AB / Phonetrade.com and are being provided to Members under the terms and conditions described below, as well as under any operating rules, policies, procedures that may be published from time to time on this Web site by Phonetrade.com and/or its service providers (collectively the "terms").



2. MEMBERSHIP

(1) With the exception of the free-of-charge services, which are open to the public, the services are available only to: companies and/or professionals doing business as Manufacturers, Network Operators, Service Providers, and Distributors, Retailers, Wholesalers, Stockists, Store chains and shops. All such B2B market segment companies are invited to join Phonetrade.com, with the employee(s), who completes and submits the complete registration form and fulfils the requirements to be approved as members of Phonetrade.com.

(2) Company and each employee shall be considered as a Member under these Terms. An employee shall be deemed to be acting on behalf of the Company through which he is registered at all times. In the event an employee no longer is authorised to represent Company (whether due to termination of employment or otherwise), Company must notify Phonetrade.com immediately in writing and must ask for the removal of such employee and, in addition, may appoint a new representative. Upon issuance of a reply notice by Phonetrade.com acknowledging the change, membership of the former representative ceases.

(3) Phonetrade.com may refuse to offer services to any applicant for membership at its sole discretion. Accordingly membership starts upon Phonetrade.com's affirmation of membership following the reception of the registration form filled out by applicant.

(4) Username and password security are the responsibilities of the Member Company as well as the user personally. This security data is to be handled under such conditions that only approved user will be aware of this information.

(5) If the Member Company needs more than one user, one complementary user can be accepted by Phonetrade.com and covered by the one membership fee if the 2 users are working from the same location. For security reasons, members are responsible for regularly changing their passwords using the function "change password". We recommend changing the password at least 4 times a year. If there is any abuse of passwords and/or usernames, Phonetrade.com will terminate the membership and access.



3. CONTENTS OF MEMBER's POSTINGS

(1) A member shall not submit for publication information for which the member lacks the necessary powers, rights and/or authority to supply and/or disclose. By posting information, a member guarantees and expressly warrants that he has the power, right and authority to disclose said information and/or to post it.

(2) While Phonetrade.com will not be liable for any information and/or contents of postings by members, members promise to reimburse Phonetrade.com for any damages suffered due to any such posting by any member.

(3) Phonetrade.com reserves the right to withdraw any information provided by any member.

(4) Likewise Phonetrade.com reserves the right at its sole discretion to dispense with or terminate a member's membership if it appears to Phonetrade.com that the member has violated its obligations under this section.



4. INTERACTIVE ACTIONS

(1) When offered/requested goods have been sold or bought the seller/buyer should immediately log in and mark the goods as sold or bought, in order to fulfil the rule stated in � 2 above, and to avoid confusion and to maintain the reputation of being an approved member of Phonetrade.com. 

(2) When responding to offers a buyer has to have the the financial capacity to fulfil the conditions required for finalising the deal before he starts negotiation with the seller.



5. PROPRIETARY RIGHTS

Each Member acknowledges that all content contained on this Web-site is protected by copyright, trademarks, and service marks and a member is only permitted to use this content as expressly authorised by Phonetrade.com. A Member may not copy, reproduce, distribute, or create derivative works from this content without the express written authorization by Phonetrade.com.


 
6. LINKS

(1) All applicants for membership of Phonetrade.com must accept that Phonetrade.com will undertake a solvency investigation. Phonetrade.com has assigned. Dun & Bradstreet to perform the proper solvency and crime prevention investigation so as to secure the reputation of phonetrade.com and to ensure efficient trading within phonetrade.com.

(2) Phonetrade.com may provide links to other Web-sites or resources. Each Member acknowledges and agrees that Phonetrade.com is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other material, on or available from such sites or resources. Member agrees that Phonetrade.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, products or services available on such external sites or resources. 

(3) Member data and offer data, including the personal data of any of the Member's directors, officers, employees, contractors or agents which is provided to Phonetrade.com at any time whether in relation to registration as a Member or for the purpose of specific transactions ("Data") will be processed and held by Phonetrade.com in accordance with applicable data protection law. The Member consents, and shall procure the consent of whoever provides such Data, may be disclosed to third parties such as banks, freight forwarders, inspection companies, insurance companies or other service providers as part of the service or sub-services provided via the site. Each Member agrees, as a condition of their application for membership on Phonetrade.com, that the Member's Data may be shared with named parties providing sub-services when the Member wishes to uses the sub-services or contracts with the third party for the provision of such services and then only to the extent necessary for the third party to perform the services which the Member requests. In addition, the Member consents, and shall procure the relevant consent from any party providing the Data, to the transfer of the Data outside the European Economic Area for the purpose of enabling a third party to provide sub-services.



7. TERMINATION

(1) Phonetrade.com may terminate access to the service with or without a stated cause at any time and effective immediately. Termination shall be communicated via e-mail, or fax to the other party. Phonetrade.com shall not be liable to member or any third party for termination of the Services. Upon termination of Services member's right to use Services immediately ceases and Member acknowledges and agrees that Phonetrade.com may immediately delete the postings in the member's account, and bar any further access to the site.

(2) The membership will also be terminated as stipulated under clause 3.1. above if the member makes misuse of Phonetrade.com by such actions as disclosing username and/or password to unauthorised person or by similar fraudulent actions.

(3) Any breach of the terms and conditions set out in this membership agreement may cause the termination of the membership.

(4) Member acknowledges and agrees that upon termination member will
a. Pay any and all outstanding fees and payments due within seven days after termination notice is received.

b. Perform its obligations under all outstanding transactions with other members.

c. Not disclose any information Phonetrade.com has marked confidential.

(5) All current Member and new Members who will not accept this terms and conditions or any future changes of this terms and conditions we accept a immediate cancelation of this membership.


 
8. LIMITATION OF LIABILITY

Phonetrade.com will bear no liability for any publishing errors made by Phonetrade.com or any other party publishing on Phonetrade.com.

Phonetrade.com will not be liable for any error inefficiency or non-performence attributable to its own personnel or system.

While Phonetrade.com will endeavour to only publish postings from reliable and reputable Members, it will not be responsible for the availability, quality, accuracy or reliability of any matter relating to any member's posting. This includes all products offered by a Seller and any recruitment posting or the character or background of any member, including but not limited to, any member making a job application.

Phonetrade.com could not be held responsable for any damage coursed if the buyer or the seller for any reason do not fullfill their obligations in any agreement.

Phonetrade.com warrants the performance of the portal Phonetrade.com under normal conditions. Phonetrade.com cannot held responsible for non-performance of the Phonetrade.com due to the reason such as force majeure or other reasons beyond its reasonable control.



9. DELEGATION/ASSIGNMENT

Phonetrade.com reserves the right to delegate, assign or sub contact its obligations and responsibilities.
 


10. MODIFICATION OF TERMS
==================================================
(1) Phonetrade.com may change the Terms & Conditions from time to time. Upon any change of these Terms & Conditions, Phonetrade.com will post the amended Terms on this site. Any changes will be indicated by a change of the date of revision displayed below the headline "General Terms and Conditions" of these General Terms and Conditions. The amended Terms & Conditions shall automatically become effective 10 days after they are posted on this site. Member's continued use of the Service after the expiration of the 10 days period constitutes Member's acknowledgement and agreement to the General Terms & Conditions, and their modifications.

(2) Should a member object to any modification or revision or become dissatisfied with the Services in any way, the member's sole recourse is to immediately a. terminate use of Services and b. notify Phonetrade.com of the termination.
 


11. ARBITRATION, APPLICABLE LAW

(1) Any dispute in connection with this membership agreement shall be finally settled by Arbitration Institute of the Stockholm Chamber of Commerce.

(2) The arbitral tribunal shall be composed of a sole arbitrator.

(3) The law of Sweden shall govern the matter regulated by this membership agreement.

(4) The arbitration proceedings shall be conducted in the English language.
